Instructor Led Training


1       Binding Agreement

1.1    The terms and conditions in this agreement below bind the legal entity or individual person referenced in the accompanying formal quote document or training.prescience.com.au registration (“you”) and Prescience Technology Pty Ltd (“Prescience”) from the time you submit a signed copy of your training quote to Prescience Technology, or formally accept Prescience’s quote via email or online submission of enrolment.


2       Payment Obligations

2.1        When you submit an Enrolment Request more than 10 days prior to scheduled course commencement, you will be invoiced immediately and your payment is due 10 days prior to scheduled course commencement.

2.2         When you submit an Enrolment Request less than 10 days prior to scheduled course commencement, you will be invoiced immediately and your payment is due immediately.

2.3         Your payment obligation is irrevocable and is subject to the substitution, reschedule and cancellation clauses in section 4 below.

2.4         All fees and applicable taxes must be paid without set off or deduction.

2.5         Accepted payment methods are:

(a)    Credit Card Payment – RECOMMENDED and PREFERRED for between1 and 3 training delegates.  Credit card payments may be taken over the phone, through our online training registration portal or via our secure online payment facility.


(b)    Purchase Order / Direct Deposit is available for 4 or more training delegates, to be remitted to the following account:

(c)    Direct Deposit will only be accepted up to 3 business days prior to course commencement, after which payment via credit card will be required.


3       Confirmation of Enrolment and Attendance

3.1        Once Prescience has received a signed copy of your training quote, or email acceptance of your quote, and the Payment Obligations have been met, Prescience will provide you with a Confirmation of Enrolment.

3.2         Course attendance is not guaranteed until payment is made in full and you receive a Confirmation of Enrolment from Prescience.

3.3        You (and the training delegate if you are arranging training on behalf of others) may be contacted prior to course commencement to finalise payment, unless alternative arrangements have been agreed, in advance and in writing, with an authorised representative of Prescience.


4       Substitution, Rescheduling and Cancellation

4.1         Prescience reserves the right to reschedule a public course up to six (6) working days prior to course commencement, if sufficient delegate numbers are not met.

4.2         If you fail to meet your Payment Obligations, Prescience reserves the right to cancel your reserved seat at any time up to the date of scheduled course commencement; or to reschedule the course if minimum delegate numbers are not met.

4.3         In the event that Prescience exercises our rights in accordance with 2.5, a Cancellation of Enrolment or Reschedule Notice will be forwarded to your nominated email address.

4.4         All substitution, reschedule or cancellation requests must be made by email to training@prescience.com.au.

4.5         Please submit your substitution, reschedule or cancellation request to Prescience as soon as possible. 

4.6        The surcharges below apply for all substitution and reschedule requests, as a percentage of and in addition to the quoted price for the enrolled course. The credits apply for all cancellation requests as a percentage of the quoted price for the enrolled course. All surcharges and credits are calculated in accordance with the applicable timeframe.

4.7     The surcharges and credits detailed in 4.6 above only apply if the substitution, reschedule or cancellation request is initiated by you.

4.8         In the event that Prescience exercises our rights in accordance with 2.5 after you have received a Confirmation of Enrolment, any related cancellation will be considered to have been initiated by you, your original invoice will remain due and payable and cancellation credits will apply.

4.9         The surcharges and credits detailed in 4.6 do not apply if Prescience exercises the right to reschedule a public training course in accordance with 4.1 above.

4.10      For all Substitution and Reschedule requests, Prescience will invoice you for the surcharge percentage (outlined in 4.6) of the original course fee, to accept your request. The applicable Fee must be paid before:

(a)    The commencement date of current course in case you are requesting a Substitution; or

(b)    The commencement date of the course you have re-enrolled in.


4.11      For all cancellation requests, Prescience will issue you with a credit for the applicable percentage of the fee outlined in 4.6, that you could use towards a purchase of any other service/product from Prescience

(a)    75% credit offered if more than 10 working days of notice is provided

(b)    50% credit offered if more 6-10 working days of notice is provided


4.12      Credit will be valid for one year from the original purchase date.

4.13      Credits are not exchangeable for refunds under any circumstances.

4.14     Reschedule and Substitution requests are not eligible or exchangeable for credits under any circumstances.

4.15      In the event that your Reschedule Request is accepted, you must reschedule and enrol yourself within a period of 2 months in an eligible public course with Prescience, that is scheduled to be delivered within a period of 4 months from the date of your original course.

(a)    In the unlikely circumstance that Prescience does not have another public course listed during the period of next 4 months, , Prescience will support enrolment in a future course on an exceptional basis which must be agreed in writing with your Prescience representative within 2 months from the date of your original course.


5       Course Materials and Certificates

5.1          Course materials and certificates will only be issued to those who attend and complete the training course in full.

5.2          The Trainer’s decision on provision or withdrawal of course materials and certificates is final.


6       Promotional Offers and Sales

6.1          Cancellation and Reschedule facilities will not be offered for purchases made under a promotional offer or sale. 


7       Technical, Software and Connectivity Requirements

7.1        All requirements pertaining to accessing the Live Virtual Classes are available on the Prescience website.

7.2        You are expected to ensure that you have all the necessary components (software, computer, internet, monitor, and other peripherals) in tested, working condition.

7.3         Prescience will conduct a virtual one to one hands-on session prior to the Course Start date to ensure that you can connect to our training environment successfully and understand how to access our training resources.

7.4         Prescience will not be held responsible for any issues that you face because of the technical issues on your end during the delivery of the course. Technical issues will not entitle you to reschedule your course to a later date or to cancel it.


8       Travel Arrangements

8.1          Should you need to travel for any reason to avail yourself of the technology to participate the following conditions apply:

(b)    Travel and accommodation for participants is not included in the per person rate for public or dedicated training courses, unless stated otherwise in this document.

(c)    We highly recommend that you purchase refundable airfares.  Prescience will not be responsible for travel or other costs incurred due to scheduling changes initiated by the registrant or Prescience.


9       Copyright

9.1        The copyright in the all course material and any other content provided by Prescience, is held by Prescience or the original creator of the material.  The delegate shall not mirror, copy, reproduce, publish, store in a retrieval system, alter, transmit in any form or any means any part of or the whole of the material without the prior written approval of Prescience. All license and rights to access and use the course material terminates immediately if you breach these copyright terms.


10   Warranties and liability

10.1     The information contained in the course materials is for personal and/or educational use only and is provided in good faith without any express or implied warranty. Prescience has made every effort to develop and deliver the materials with current and accurate information, however, there is no guarantee given as to the accuracy or currency of any individual item. Prescience accepts no responsibility for any direct, indirect or consequential loss or damage occasioned by use of the information contained in the course materials or provided verbally or otherwise during the provision of training services.

10.2     To the extent permitted by law, Prescience is not liable to you in contract, tort, breach of statutory duty or otherwise, in respect of any loss, damage or expense arising out of or in connection with this agreement, the Oracle programs and/or technical support services or the relationship between the parties, for an amount that exceeds the amount paid by the delegate for the purpose of attending Live Virtual Class.


11   Entire Agreement, Waiver, Amendment, and Severability.

11.1     This Agreement contains the entire agreement between the you and Prescience with respect to the subject matter hereof, supersedes all prior oral or written agreements between us, and neither Party shall have any obligation, express or implied by law, with respect to trade secret or proprietary information of the other Party except as set forth herein.

11.2      Any failure to enforce any provision of this Agreement shall not constitute a waiver thereof or of any other provision.

11.3      In the event any term of this Agreement is found by any court to be void or otherwise unenforceable, the remainder of this Agreement shall remain valid and enforceable as though such term were absent upon the date of its execution.


12   Other

12.1      Each party is an independent contractor. Prescience is not an agent of you or of Oracle, Deltek or Synami (Seavus).

12.2     This agreement is subject to the substantive and procedural laws of New South Wales and the parties submit to the exclusive jurisdiction of, and venue in, the courts in New South Wales - Sydney in any dispute that arises in connection with this agreement or the relationship between the parties.
